ZEEPAY ZONE – TERMS AND CONDITIONS OF USE

Last Updated: October 28, 2025 These Terms and Conditions (“Terms”) govern the use of the Zone section of the ZEEPAY application (“Zone Services”), operated by ZEEPAY TEKNOLOJİ A.Ş., a company registered under the laws of the Republic of Turkey, with its registered office at FULYA MAH. BÜYÜKDERE CD. QUASAR REZIDANSE. NO76. DAIRE:2401 SISLI, İSTANBUL /TÜRKİYE (“ZEEPAY”). It is a mandatory condition for completing the Know Your Customer (KYC) process and for accessing the services described herein. By accessing or using the Zone Services, you (“User”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Zone Services.

1. PURPOSE AND SCOPE

1.1 The Zone section enables Users to browse, select, and purchase third-party products or services the ZEEPAY application and platform. 1.2. Under this Agreement, the User acknowledges and declares that their account operates with two (2) separate balances. The first balance is a ZEEPAY Wallet maintained, held, managed, and controlled by ZEEPAY Teknoloji A.Ş. in accordance with this Agreement and relevant laws and regulations. The second balance consists of a PayPorter Wallet opened and maintained within the electronic money and payment services infrastructure of PAYPORTER Payment Services and Electronic Money A.Ş., including its connections to relevant card payment networks such as the Mastercard network. The User may choose to deposit funds directly into their ZEEPAY Wallet when adding funds to their account or increasing their balance. In this case, the deposited funds will be reflected as a balance under the supervision and control of ZEEPAY Teknoloji A.Ş., and subject to technical suitability and applicable limitations, the User may transfer funds between their ZEEPAY Wallet and their PayPorter Wallet. These transfers constitute an internal reallocation of the User's balances between these two separate wallets, and the User expressly acknowledges that at any time, a portion or all of their current balance may be held and controlled by ZEEPAY through their ZEEPAY Wallet, separately from the balance held in their PayPorter Wallet. 1.3. ZEEPAY acts solely as an intermediary between Users and independent third-party providers (“Merchants”). ZEEPAY does not own, operate, or directly supply any of the services offered within Zone. 1.4. By using Zone, the User authorizes ZEEPAY to process payments on their behalf and to share relevant order information with the corresponding Merchant. 1.5. ZEEPAY Teknoloji A.Ş., acting as the duly appointed representative of PayPorter with representative code 8333401186, is authorized under the applicable laws of the Republic of Turkey, including but not limited to Law No. 6493 Payment Services and Electronic Money Institutions, to provide financial services to its Customers in compliance with the regulations of the Central Bank of Turkey and the rules of Mastercard.

2. ACCEPTANCE OF TERMS

2.1 By clicking “Accept,” “Agree,” or any similar confirmation button, or by otherwise accessing or using Zone, the User agrees to these Terms and to ZEEPAY’s Privacy Policy. 2.2 These Terms form a legally binding agreement between the User and ZEEPAY. 2.3 ZEEPAY reserves the right to update or modify these Terms at any time. Continued use of Zone following such updates constitutes the User’s acceptance of the revised Terms. 2.4. If the customer does not accept the terms and conditions, they cannot use ZEEPAY services.

3. ZEEPAY’S ROLE

3.1 ZEEPAY provides a digital platform for facilitating transactions between Users and Merchants. 3.2 ZEEPAY is not responsible for the quality, delivery, accuracy, or performance of any service provided by a Merchant. 3.3 Each purchase or booking made through Zone is also subject to the Merchant’s individual terms and conditions. The User must review and accept those terms before finalizing any transaction. 3.4 ZEEPAY’s role is limited to enabling payment processing and communication between the User and the Merchant. 3.5. In addition to financial services, ZEEPAY is further authorized to provide touristic and welfare services, which may include but are not limited to: airline and hotel deals, travel guidance, accommodation support, health-related assistance, shopping benefits, and any other reasonable touristic or welfare services requested by the Customer within the territory of Turkey.

4. PAYMENTS

4.1 Payments for services purchased through Zone are processed by ZEEPAY as an intermediary on behalf of the Merchant. 4.2 The total amount displayed at checkout includes all applicable fees and taxes, unless otherwise indicated. 4.3 Upon successful payment, ZEEPAY will transfer the corresponding amount to the Merchant, deducting applicable service or transaction fees. 4.4 ZEEPAY reserves the right to cancel, reject, or hold any transaction if fraudulent or unauthorized activity is suspected. 4.5 Service fees shall be paid in advance unless otherwise agreed in writing, and payments shall be made in Turkish Lira (TRY) or another mutually agreed currency. ZEEPAY reserves the right to suspend services in case of delayed or incomplete payment. 4.6. ZEEPAY may collect service fees directly from the Customer in their country of residence. Where required under applicable legislation, ZEEPAY may cooperate with a duly authorized Electronic Money Institution (EMI) licensed in Turkey pursuant to Law No. 6493. In such cases, a portion of the service fee, or any additional amounts, may be transferred to an account opened in the Customer’s name with the relevant EMI. The conversion of funds into electronic money and the issuance of any related payment instruments shall be carried out exclusively by the licensed EMI, in accordance with Law No. 6493 and related secondary legislation. ZEEPAY itself does not issue electronic money or provide regulated payment services, and its role is limited to facilitating the Customer’s access to such services through cooperation with licensed providers.

5. REFUNDS AND CANCELLATIONS

5.1 Refunds and cancellations are governed by the Merchant’s refund policy, not ZEEPAY’s. 5.2 ZEEPAY will process refund requests only after receiving written authorization from the relevant Merchant. 5.3 If the User cancels a booked service, any refund or penalty amount will be determined solely according to the Merchant’s policy. 5.4 If a service cannot be fulfilled by the Merchant (e.g., unavailability, cancellation, or service error), ZEEPAY may assist in facilitating communication between the User and the Merchant, but final responsibility lies with the Merchant. 5.5 Refunds, if approved, will be returned to the original payment method or ZEEPAY account used by the User, within a reasonable period. 5.6 ZEEPAY is not responsible for non-refundable amounts or for services partially used by the User.

6. EMERGENCIES AND UNFORESEEN CIRCUMSTANCES

6.1 ZEEPAY shall not be liable for any delay, disruption, or non-performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, pandemics, cyberattacks, technical failures, or governmental restrictions. 6.2 In the event of the User’s death or permanent incapacity, any funds or pending balances within the User’s ZEEPAY account shall be managed according to applicable Turkish laws and the verified request of legal heirs or representatives. ZEEPAY reserves the right to request official documentation before releasing any funds or information. 6.3 ZEEPAY is not responsible for losses or unused services resulting from personal emergencies, accidents, or other unforeseen events affecting the User or service recipients.

7. USER RESPONSIBILITIES

7.1 The User must be at least 18 years old and legally capable of entering into binding agreements. 7.2 The User agrees to provide accurate and up-to-date information when using Zone. 7.3 The User is solely responsible for maintaining the confidentiality of their ZEEPAY account credentials and for all actions taken through their account. 7.4 The user agrees to use Zeepay services only for personal and lawful purposes, to refrain from illegal activities, and to make payments in accordance with the agreed-upon tariff. 7.5. The Customer is solely responsible for safeguarding login credentials, payment instruments, and other security details. Unauthorized or fraudulent activities must be reported immediately. Failure to do so may result in partial or full liability for resulting losses. ZEEPAY shall not be liable for indirect, incidental, or consequential damages, and except in cases of willful misconduct or gross negligence, its liability shall be limited to the amount paid for the services in question. 7.6. Zeepay conducts verification processes and monitors activities in accordance with anti-money laundering (AML), counter-terrorism financing (CTF), and fraud prevention requirements. Zeepay is not liable if it is determined that a user's system is used for money laundering (AML), counter-terrorism financing (CTF), fraud, or any other crime. In such cases, Zeepay reserves the right to file complaints and report such activities. User accounts may be suspended or permanently terminated for the commission of these crimes.

8. LIMITATION OF LIABILITY

8.1 To the fullest extent permitted by law, ZEEPAY shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the User’s use of Zone or any services purchased through it. 8.2 ZEEPAY shall not be held responsible for the quality, performance, or outcome of services provided by Merchants. 8.3 ZEEPAY’s total aggregate liability to any User for claims arising under these Terms shall not exceed the total amount paid by the User for the specific transaction in question. 8.4 Zone Services are provided “as is” and “as available,” without any warranty of any kind, whether express or implied. 8.5. ZEEPAY agrees to provide its services with due skill, care, and diligence, to respect the Customer’s privacy and confidentiality, to act at all times in accordance with Turkish law and applicable regulations, and to ensure that assistance is delivered in a timely and professional manner within the agreed scope.

9. DATA PROTECTION

9.1 ZEEPAY collects and processes personal data in compliance with the Turkish Personal Data Protection Law (KVKK) and the EU General Data Protection Regulation (GDPR), where applicable. 9.2 By using Zone, the User consents to the collection, processing, and sharing of personal data as necessary to complete transactions and provide services. 9.3 ZEEPAY may share only essential data with the Merchant to facilitate the User’s order or booking.

10. EFFECTIVENESS, TERM, AND TERMINATION

10.1 This Agreement becomes effective upon electronic acceptance by the Customer. It shall remain valid throughout the Customer’s engagement with ZEEPAY unless terminated earlier. Either Party may terminate this Agreement by written notice, provided that all legal and contractual obligations are fulfilled. ZEEPAY may update this Agreement to comply with laws and regulations; updates will be communicated to the Customer. 10.2 ZEEPAY may suspend or terminate a User’s access to Zone at any time, without prior notice, if the User violates these Terms or engages in fraudulent, abusive, or unlawful activities. 10.3 Termination does not affect any completed transactions, except as otherwise required by law or the applicable Merchant’s policies.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any dispute arising out of or relating to these Terms shall fall under the exclusive jurisdiction of the competent courts of Istanbul (Çağlayan), Turkey.
